The Howes Percival Corporate team in Milton Keynes has advised the shareholders of Hornbeam CPAM Limited on their sale to BTG Eddisons Group Limited, part of BTG Consulting plc.
Hornbeam CPAM Limited is a Milton Keynes-based specialist commercial property and asset management business and the transaction followed Howes Percival’s work on the earlier sale of Kirkby Diamond LLP and Kirkby Diamond Property Management Limited to the Eddisons group.
Corporate Partner Gary Smith and Associate Olivia Robinson led the Howes Percival team on the transaction, guiding the sellers Charles Lucas, Charlotte Lucas, Sophie Hart and Graeme Hart through the sale process from the negotiation of the Heads of Terms through to due diligence and the key transaction documents, to completion.
Gary and Olivia were supported by Howes Percival’s James Conley (Employment), Nick Ripper (Commercial Property), Zara Khan (Intellectual Property) and Sam Moore (Tax).
Howes Percival’s Gary Smith commented,
I’m delighted that we were able to help the shareholders of Hornbeam realise the fruits of their many years of hard work. Hornbeam is a well-established business in Milton Keynes with a market leading reputation. The transaction highlights the breadth of legal support required for a business sale, and Howes Percival’s experience in advising business owners on transactions involving complex consideration structures, detailed post-completion performance mechanisms and the continued involvement of key management following a sale. The deal also demonstrates that established specialist businesses in Milton Keynes and the wider region continue to attract interest from larger strategic acquirers.
Brabners LLP in Manchester acted for the buyer.
